Chinese translation- SALE AND PURCHASE AGREEMENT ( Real estate)


NOW IT IS HEREBY AGREED as follows:
合同双方同意如下:



PURCHASE PRICE购买价格
1.                

In consideration of the total purchase price of the said Parcel (exclusive of GST) as stated in the Second Schedule hereto (hereinafter referred to as “the Purchase Price”) to be paid by the Purchaser to the Vendor upon signing this Agreement, the Vendor hereby agrees to sell and the Purchaser hereby agrees to purchase the said Parcel free from all encumbrances and with vacant possession subject to the terms and conditions expressed and/or implied in the issue document of title to the said Parcel and the terms and conditions hereinafter appearing
依据本文件内的条款,及约定的不动产发售文件中列明或暗指的条件,买方在签订本合同时向卖方支付附件二所述之单元的不含消费税的总房款(以下简称「总房款」),卖方特此同意出售所述之单元,买方特此同意无其它保留条件地购买此空屋形式的不动产。


2.               TIME时间

Time shall be the essence of this Agreement.
时间是本合同的重要内容。


3.               CONSTRUCTION OF THE SAID BUILDING所述建筑物的建造

(a)              Building Specifications
建筑规格

The said Parcel shall be constructed in a good and workmanlike manner in accordance with the final approved Building Plan.
约定的不动产应按照最终批准的建筑规划以良好且熟练的方式建造。

(b)             No unauthorised change to plans/specifications by the Purchaser
买方得对建筑规划/规格进行未授权变更

The Purchaser shall not have the right to alter or deviate from the Approved Building Plan and specifications of the said Building nor shall the Purchaser be entitled either of his own accord or otherwise require the Vendor or instruct any other person or firm to do any additional or other work to the said Parcel unless and until a Certificate for Fitness for Occupation in respect of the said Parcel has been issued PROVIDED ALWAYS that the Vendor may upon the written application of the Purchaser may but shall not be obliged to consent to such alteration or deviation from the Approved Building Plan and specifications as may be considered reasonable by the Vendor at any time before the issue of a Certificate of Fitness for Occupation upon such terms as may be agreed by the Parties.
如关于该约定的不动产的职业健康文件没有发出,买方无权更改所述建筑物的规格或使之偏离所批准的建筑规划,买方亦无权自行或有应他方请求,要求卖方或指示任何其他人或企业对所述单元进行任何额外或其它的施工。但是,买方可以向卖方提出书面申请,申请对建筑规划图和建筑规格的进行修改或变更;但是卖方并无义务要必须同意此类申请;当然在职业健康文件发出前的任何时间,如双方同意,卖方也可以认为申请是合理的。
